If you\u2019ve decided to become an entrepreneur in Romania, here are a few steps to follow in order to establish an LLC (SRL).<\/p>

While the procedure is not overly complicated, it requires time and attention, both in drafting the documents and submitting them online to the Trade Register.<\/p>

The first step<\/strong> is to choose the company name. To reserve a name with the Trade Register, you must provide three name options in order of preference for your future company.<\/p>

The second step<\/strong> is to define your activities, meaning that you have to decide what activities you want your company to engage in and determine whether these require special authorizations from public institutions or authorities to operate legally.<\/p>

The third step<\/strong> is to choose the shareholders, the administrator(s), and decide on the company's share capital and registered address. For the address, you must have a commodity agreement or lease. Alternatively, you can establish your company's registered address with a lawyer for one year if needed.<\/p>

The fourth step<\/strong> is to draft the documents; the key document for a company is the Articles of Incorporation.<\/p>

This document is crucial because it outlines the company\u2019s activities, shareholders, administrators, share capital, the breakdown of ownership shares, and the responsibilities of the company\u2019s governing bodies.<\/p>

Other required documents include declarations regarding the company's real beneficiary and the fulfillment of legal operating conditions.<\/p>

The fifth step<\/strong> is to submit the necessary documents to the competent Trade Register office and pay the registration fee, which will be communicated through a calculation note.<\/p>

This submission can be made either in person at the Trade Register or online via the National Trade Register Office portal. The documents submitted online must be signed with a qualified electronic signature.<\/p>

The sixth step<\/strong>: once your application is processed, you will receive the company\u2019s registration documents either in physical format (picked up in person or mailed) or electronically via email.<\/p>

Documents sent electronically are valid originals as they are signed electronically by the issuing official.<\/p>

The documents that confirm the company's establishment include the Approval Resolution, the Company Registration Certificate, and the Certificates of Incorporation.<\/p>
